PLEASE READ THESE TERMS CAREFULLY, INCLUDING SECTION 7 (BLOCKCHAIN STAMPING AND PERMANENCE), SECTION 20 (DISCLAIMERS), SECTION 21 (LIMITATION OF LIABILITY), AND SECTION 23 (BINDING ARBITRATION; CLASS ACTION WAIVER), AS THEY AFFECT YOUR LEGAL RIGHTS.

1. Introduction and Acceptance of These Terms

These Terms of Service (“Terms”) form a binding legal agreement between you (“you,” “your,” or “User”) and Vitahash LLC, a limited liability company organized under the laws of [State of Formation] (“Company,” “we,” “us,” or “our”), governing your access to and use of the Vitahash website, mobile applications, application programming interfaces, and related services (collectively, the “Service” or “Platform”), including the website located at vitahash.org (the “Site”).

By creating an account, accessing the Site, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are accessing or using the Service on behalf of a company, institution, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Definitions

  • “Content” means any text, article, abstract, image, video, GIF, data, metadata, or other material submitted, posted, uploaded, or otherwise made available through the Service, including Research Articles and Blog Posts.
  • “Research Article” means Content submitted through the “Publish Research” workflow and routed for editorial and peer review prior to publication.
  • “Blog Post” means Content submitted through the “Publish Blog” workflow and published instantly without editorial review.
  • “Blockchain Stamp” or “Permanent Stamp” means the cryptographic record, content hash, and associated metadata that the Service writes to a third-party distributed ledger (such as Base or Arweave, or any successor network) upon publication of Content.
  • “B-Index” means the proprietary, platform-generated reputation metric described in Section 9.
  • “Custodial Wallet” means the blockchain wallet that the Service creates and manages on your behalf, as described in Section 4.4.
  • “User Content” means Content that you personally submit, post, or otherwise contribute to the Service.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction of residence if higher, to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

The Service is not directed at, and we do not knowingly collect personal information from, individuals under 18. If we learn that an account has been created by a person under 18, we will terminate that account and delete associated Content to the extent reasonably practicable, subject to Section 7.3 (Limits on Removal).

You may not use the Service if you are located in, organized in, or a resident of a country or region subject to comprehensive U.S. trade sanctions, or if you are listed on any U.S. government denied-party or restricted-party list. You represent that you are not subject to any such restriction.

4. Accounts, Registration, and Security

4.1 Registration. You may register for an account using a valid email address through our passwordless “magic link” authentication system. You are responsible for maintaining access to the email account associated with your Vitahash account, as it serves as your primary means of authentication.

4.2 Account Information. You agree to provide accurate, current, and complete information during registration and to keep such information (including your profile, institutional affiliation, and bio) accurate and up to date. You may not impersonate any person or entity or misrepresent your affiliation with any person, institution, hospital, or organization.

4.3 Account Security. You are solely responsible for all activity that occurs under your account, whether or not authorized by you, except to the extent caused by our gross negligence or willful misconduct. You must notify us promptly at info@vitahash.org if you become aware of any unauthorized access to or use of your account.

4.4 Custodial Wallet. To enable Blockchain Stamping without requiring you to manage cryptographic keys, seed phrases, or gas fees, the Service automatically creates and maintains a Custodial Wallet on your behalf. You acknowledge and agree that: (a) Vitahash, or its designated infrastructure provider, holds and controls the private keys associated with your Custodial Wallet; (b) the Custodial Wallet is used solely to sign and record Blockchain Stamps and related ledger transactions in connection with your use of the Service, and is not a general-purpose cryptocurrency wallet; (c) the Custodial Wallet does not hold, and may not be used to hold, transfer, or receive, cryptocurrency, tokens, or other digital assets of monetary value, except as expressly enabled by a future feature under separate terms; (d) we do not provide custody, exchange, brokerage, money transmission, or investment services, and nothing in the Service should be construed as such; and (e) we are not liable for any loss arising from the design, operation, congestion, forking, or discontinuation of any underlying blockchain network.

4.5 Network and Stamping Costs. Vitahash currently pays, at its own expense, all blockchain network fees (e.g., “gas”) and infrastructure costs required to generate and record Blockchain Stamps. You are not charged, billed, or required to hold any cryptocurrency or digital asset to publish Content or receive a Blockchain Stamp. Vitahash may change this practice at any time, including by introducing usage limits or a paid tier as described in Section 8, but will not retroactively charge you for Content already stamped.

4.6 One Account. Except as we may otherwise permit (for example, institutional or organizational accounts), you may maintain only one personal account. We reserve the right to suspend or merge duplicate accounts.

5. Description of the Service

Vitahash is a publishing platform that allows individuals — including independent writers, bloggers, physicians, and researchers — to create a public profile, write and publish Blog Posts and Research Articles, and have each published item permanently recorded on a blockchain ledger together with a citation-style Permanent Stamp. The Service also provides a free “follow” system for readers to subscribe to authors, a discovery feed, a following feed, a journal-style feed of peer-reviewed Research Articles, social interaction features such as “Like” and “Verify,” and an AI-assisted writing tool.

The Service is currently offered on a freemium basis: core features, including publishing, Blockchain Stamping, and following other Users, are available to all Users at no charge. We may introduce an optional paid subscription tier in the future, as described in Section 8.

We may add, modify, or remove features of the Service at any time, with or without notice, in our sole discretion. We do not guarantee that any particular feature, including the B-Index, peer review workflow, or any specific blockchain network integration, will continue to be offered.

6. User Content: Ownership and License Grant

6.1 You Own Your Content. As between you and Vitahash, you retain all right, title, and interest in and to your User Content, including all associated copyright and other intellectual property rights, subject to the license granted below and any rights you have granted to co-authors.

6.2 License to Vitahash. By submitting User Content to the Service, you grant Vitahash a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, distribute, publicly display, publicly perform, adapt (for formatting and technical delivery purposes only), create citation metadata for, and otherwise make available your User Content in connection with operating, promoting, and improving the Service — including, without limitation, writing a cryptographic hash and citation metadata of your User Content to a third-party blockchain network as described in Section 7. This license continues after you stop using the Service solely to the extent necessary to maintain the integrity, permanence, and verifiability of previously published Blockchain Stamps and the historical scholarly or public record, and to comply with Section 7.3.

6.3 Your Representations. By submitting User Content, you represent and warrant that: (a) you own the Content or have all rights, licenses, consents, and releases necessary to grant the license in Section 6.2 and to publish the Content, including with respect to any co-authors, research subjects, patients, or third parties depicted or referenced; (b) publication of the Content does not and will not infringe, misappropriate, or violate any third party's intellectual property, publicity, privacy, or other rights; (c) the Content complies with these Terms, including the Content Standards in Section 10; and (d) where the Content involves human subjects research, patient information, or clinical data, you have obtained all legally required consents, approvals, and de-identification, and the Content complies with applicable research ethics and data protection requirements.

6.4 Multi-Author Content. If you designate co-authors through the Authorship Attribution feature, you represent that you have each co-author's consent to (a) be identified as an author, (b) receive the stated contribution-weight allocation, and (c) have the Content published and permanently stamped on the blockchain. Disputes between co-authors regarding attribution or contribution weighting are solely between the co-authors; Vitahash has no obligation to investigate, mediate, or resolve such disputes and may, at its discretion, remove disputed Content from public display pending resolution, subject to Section 7.3.

7. Blockchain Stamping and Permanence — Important Notice

7.1 Nature of the Blockchain Stamp. When you publish a Blog Post, or when a Research Article is approved through peer review, the Service generates a cryptographic hash (e.g., SHA-256) of your Content, together with authorship, contribution-weight, and timestamp metadata, and writes that record to a third-party distributed ledger. This creates a durable, independently verifiable record of authorship and priority.

7.2 PLEASE READ CAREFULLY: PUBLICATION IS PERMANENT. Distributed ledgers are designed to be immutable. ONCE CONTENT HAS BEEN PUBLISHED AND STAMPED, THE CRYPTOGRAPHIC RECORD OF THAT CONTENT — INCLUDING ITS HASH, TIMESTAMP, AND AUTHORSHIP METADATA — CANNOT BE ALTERED OR DELETED FROM THE UNDERLYING BLOCKCHAIN NETWORK BY YOU, BY HUMAN X, OR BY ANYONE ELSE. You should not publish or submit for review any Content that you are not fully prepared to have permanently and publicly associated with your name and the stated contribution weights. We strongly encourage you to review your Content, author list, and contribution percentages carefully in the Authorship Attribution Modal before publishing.

7.3 Limits on Removal. If you request that Content be taken down (for example, due to a copyright claim, a legal requirement, a co-authorship dispute, or your own request to delete your account), Vitahash can and will remove the Content from display on the Site and disable public access to it through the Service. However, because the underlying hash and metadata reside on a third-party, decentralized ledger that Vitahash does not operate or control, we cannot guarantee removal of the record from that ledger. Where legally required to honor a deletion or erasure request that cannot technically be fulfilled at the ledger level, we will remove all Vitahash-hosted copies, de-index the Content from the Site and search, and disable any Vitahash-provided verification page, which is the maximum removal available given the architecture of the Service.

7.4 No Guarantee of Network Availability. Blockchain networks used by the Service (currently contemplated to include Base and Arweave, or successor or additional networks we may select) are operated by independent third parties. We do not guarantee the uptime, security, continued existence, transaction cost, or long-term viability of any such network, and we are not liable for any Stamp that is delayed, lost, or rendered inaccessible due to the failure, forking, congestion, or discontinuation of a third-party network.

7.5 Verification Pages. The “Verify on Blockchain” report confirms that hosted Content matches the hash recorded at the time of stamping. It is a technical integrity check only and is not a certification of the accuracy, quality, originality, or scientific validity of the Content.

8. Freemium Service; Following; Likes; Future Paid Plans

8.1 Currently Free. As of the Effective Date of these Terms, Vitahash is free to use. We do not charge Users any fee to create an account, publish Blog Posts or Research Articles, receive a Blockchain Stamp, follow other Users, or use the core reading, liking, and discovery features of the Service.

8.2 Following Is Not a Paid Subscription. The Service allows Users to “follow” (subscribe to) other Users' profiles, at no cost, to receive their new Content in the Following feed, and to “like” published Content. Following a User is a free social feature only — it involves no payment and does not create any contractual, editorial, or fiduciary relationship between you and the User you follow. “Likes” are visible engagement signals used to influence ranking on the Discover feed and have no effect on any User's B-Index.

8.3 Future Paid Plans. We may in the future introduce an optional paid subscription plan offering additional features or benefits. No paid plan is currently offered, and you will never be charged unless you affirmatively opt in to a paid plan after we present its pricing and terms to you. Any such paid plan will be governed by additional terms presented to you at the time it is introduced, which will be incorporated into these Terms by reference, and will include applicable provisions on billing, renewal, and cancellation.

9. Authorship Attribution, Contribution Weighting, and the B-Index

9.1 Attribution Modal. Before publishing, authors must complete the Authorship Attribution Modal, selecting either Solo mode (100% of citation weight to the account holder) or Multi-Author / Research mode, in which contribution weight is allocated among First Author, Last Author, and Middle Authors as configured in the Service, provided that combined contributions for a given item must equal 100%. You are solely responsible for ensuring these allocations are accurate and agreed to by all co-authors.

9.2 The B-Index Is Informational Only. The B-Index is a proprietary metric calculated by Vitahash based on citation activity within the Platform. IT IS NOT AN ACCREDITED, PEER-REVIEWED, OR INDUSTRY-STANDARD ACADEMIC METRIC (such as an h-index, impact factor, or similar measure issued by a recognized bibliometric authority), and it is not endorsed by, and has no relationship to, any university, journal, funding body, licensing board, or professional association. The B-Index reflects activity only within the Platform and does not capture citations, impact, or contributions occurring outside the Platform. We make no representation that the B-Index will be recognized for purposes of academic promotion, tenure, credentialing, licensure, grant applications, or any other professional or institutional purpose, and you should not rely on it for any such purpose without independent verification.

9.3 Changes and Corrections. We may modify the B-Index formula, correct calculation errors, or adjust an individual's B-Index (including reducing it) at any time, including in response to detected manipulation, fraudulent citation activity, retraction, or removal of Content. We are not liable for any consequence resulting from a change to, correction of, or unavailability of the B-Index.

9.4 Verify Feature. The “Verify” function is available only to accounts that have reached a B-Index of 5.0 or that have completed institutional (.edu/.org, or equivalent) email verification. A Verify action records a peer-validation signal that contributes to the cited author's B-Index. Verification eligibility criteria may change at any time, and completion of institutional email verification is not, and should not be understood as, confirmation of any individual's credentials, licensure, employment, or professional standing.

10. Peer Review and Editorial Process

10.1 Voluntary, Non-Traditional Review. The “Submit for Review” track is an optional, light editorial process facilitated through the Platform. Reviewers are assigned by an Editor and may include other Platform Users. Vitahash does not warrant that this process is equivalent to, or meets the standards of, peer review conducted by an established academic journal, and use of the label “peer-reviewed” on the Platform refers only to Vitahash's internal editorial workflow described in your project materials, not to any external accreditation.

10.2 Editorial Discretion. Editors and reviewers act independently in evaluating submissions and may accept, reject, or request revisions to a Research Article for any or no reason, in their discretion. Vitahash does not guarantee any particular outcome, review timeline, or reviewer qualification, and is not responsible for the content of reviewer comments, which reflect the views of the individual reviewer and not of Vitahash.

10.3 No Endorsement. Publication of a Research Article, with or without the “peer-reviewed” label, does not constitute an endorsement by Vitahash of the article's findings, methodology, or conclusions.

11. Professional, Medical, and Scientific Content Disclaimer

Content published on the Platform, including by users who identify as physicians, researchers, or institutional affiliates, is provided for informational and scholarly purposes only. NOTHING ON THE PLATFORM CONSTITUTES MEDICAL ADVICE, A MEDICAL OPINION, A DIAGNOSIS, A TREATMENT RECOMMENDATION, LEGAL ADVICE, FINANCIAL OR INVESTMENT ADVICE, OR ANY OTHER PROFESSIONAL ADVICE, AND NO PROFESSIONAL-CLIENT OR PROVIDER-PATIENT RELATIONSHIP IS FORMED BETWEEN YOU AND ANY AUTHOR OR HUMAN X BY VIRTUE OF READING OR INTERACTING WITH CONTENT ON THE PLATFORM. You should always seek the advice of a qualified professional with respect to any medical, legal, financial, or other decision, and should never disregard or delay seeking professional advice because of something you read on the Platform. Authors, not Vitahash, are solely responsible for the accuracy, completeness, and safety of the Content they publish.

12. AI-Assisted Features and AI Content Disclosure

12.1 Writing Assistant. The Service includes optional AI-assisted features, such as abstract generation, title and keyword suggestions, tone and clarity adjustments, an automated plagiarism scanner, and an AI Originality Score. These tools are provided for convenience and may produce inaccurate, incomplete, or biased output. You are solely responsible for reviewing, editing, and verifying any AI-assisted output before publication, and for ensuring your final Content is accurate and properly attributed.

12.2 Disclosure Notice. Where you use AI-assisted drafting features, the Service will append a transparency disclosure to your Content's public metadata indicating that AI tools were used. You agree not to attempt to disable, suppress, remove, or circumvent this disclosure, and you agree to provide accurate information about your use of any external AI tools not provided by the Platform, where prompted.

12.3 Originality Score and Plagiarism Scanner Are Not Guarantees. The AI Originality Score and plagiarism scanner are automated tools intended to assist, not replace, your own diligence. A passing score is not a guarantee that Content is free of plagiarism, infringement, or fabricated or manipulated material, and Vitahash disclaims any warranty as to the accuracy of these tools.

13. Content Standards and Prohibited Conduct

You agree not to use the Service to submit, publish, or transmit Content, or to otherwise act in a manner, that:

  • Is unlawful, defamatory, libelous, harassing, threatening, or invasive of another person's privacy or publicity rights;
  • Infringes or misappropriates any copyright, trademark, trade secret, patent, or other intellectual property or proprietary right;
  • Contains knowingly false, fabricated, or falsified data, results, images, or citations, or otherwise constitutes research misconduct (including fabrication, falsification, or plagiarism);
  • Discloses identifiable patient information, protected health information, or other personal data without all legally required consents and authorizations;
  • Provides instructions for creating weapons, explosives, or other materials intended to cause serious harm, or that promotes or facilitates illegal activity;
  • Impersonates any person or entity, or misrepresents your affiliation, credentials, or authorship;
  • Introduces viruses, malware, or other harmful code, or attempts to gain unauthorized access to the Service, other accounts, or the Custodial Wallet infrastructure;
  • Attempts to manipulate the B-Index, citation counts, Like counts, or Verify status through fraudulent, automated, coordinated, or reciprocal (“citation cartel”) activity;
  • Uses automated means (bots, scrapers, or similar tools) to access, extract data from, or interact with the Service, except as permitted by our published API terms, if any; or
  • Violates any applicable law, regulation, or third party's rights.

We reserve the right, but have no obligation, to monitor, review, remove, or restrict access to any Content or account, at any time and for any reason, in our sole discretion, subject to Section 7.3.

14. Intellectual Property Rights of Vitahash

The Service, including its design, software, text (excluding User Content), graphics, logos, the “Vitahash” and “B-Index” names and marks, and all other trademarks, are the property of Vitahash or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you to use the Service, no right, title, or interest in the Service is transferred to you, and you may not use our trademarks or branding without our prior written consent.

15. Copyright Policy and Notice of Claimed Infringement

We respect the intellectual property rights of others and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”) and similar laws. If you believe your copyrighted work has been used on the Service in a way that constitutes infringement, please send a written notice to our designated agent at info@vitahash.org containing: (a) a physical or electronic signature of the copyright owner or authorized representative; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it on the Service; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

Upon receipt of a valid notice, we will remove or disable access to the identified Content from the Site in accordance with applicable law, subject to the ledger limitations described in Section 7.3. We will also terminate, in appropriate circumstances, the accounts of Users who are determined to be repeat infringers.

16. Third-Party Services, Links, and Blockchain Networks

The Service may contain links to third-party websites or rely on third-party infrastructure, including blockchain networks (such as Base or Arweave), cloud hosting providers, email delivery services, and AI model providers. Vitahash does not control and is not responsible for the content, policies, practices, security, or availability of any third-party service. Your interactions with any third party are solely between you and that third party.

17. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, available at https://vitahash.org/privacy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy. Please note that certain metadata associated with published Content — including author name(s), contribution percentages, and timestamps — is, by design, publicly displayed and permanently recorded on a blockchain ledger as described in Section 7, and such published metadata is not subject to deletion in the same manner as ordinary account data.

18. Feedback

If you choose to submit ideas, suggestions, or feedback about the Service, you grant Vitahash a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose without obligation or compensation to you.

19. Term, Suspension, and Termination

19.1 Term. These Terms remain in effect for as long as you use the Service.

19.2 Termination by You. You may stop using the Service and request deletion of your account at any time by contacting info@vitahash.org. Deletion of your account will remove your profile and non-published draft Content from the Service, but, as described in Section 7.3, will not remove previously published Content's underlying blockchain record, and we may retain hosted copies of published Content and metadata necessary to preserve the integrity of the public scholarly record and previously issued citations.

19.3 Suspension or Termination by Us. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or possible legal exposure for Vitahash, or for any other reason in our discretion, including discontinuation of the Service.

19.4 Survival. Sections 6.2 (License to Vitahash, to the limited extent described), 7 (Blockchain Stamping and Permanence), 9.2–9.3, 14 through 27, and any other provision that by its nature should survive, will survive termination of these Terms.

20. Disclaimers

THE SERVICE, INCLUDING ALL CONTENT, THE B-INDEX, THE PEER REVIEW PROCESS, AI-ASSISTED FEATURES, AND ANY BLOCKCHAIN STAMP OR VERIFICATION REPORT, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HUMAN X DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY BLOCKCHAIN NETWORK WILL REMAIN AVAILABLE OR IMMUTABLE, OR THAT ANY CONTENT, CITATION, OR B-INDEX CALCULATION IS ACCURATE, COMPLETE, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HUMAN X, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR REPUTATION (INCLUDING ACADEMIC OR PROFESSIONAL REPUTATION OR B-INDEX STANDING), ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF HUMAN X HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMAN X'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HUMAN X FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

22. Indemnification

You agree to defend, indemnify, and hold harmless Vitahash and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content, including any claim that it infringes a third party's rights or contains inaccurate or falsified data; (c) any dispute between you and a co-author or another User regarding attribution or contribution weighting; or (d) your violation of these Terms or applicable law.

23. Dispute Resolution; Binding Arbitration; Class Action Waiver

23.1 Informal Resolution. Before filing a claim against Vitahash, you agree to first contact us at info@vitahash.org and attempt to resolve the dispute informally for at least thirty (30) days.

23.2 Binding Arbitration. If a dispute is not resolved informally, you and Vitahash agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual action in small claims court. This arbitration agreement is governed by the Federal Arbitration Act.

23.3 Class Action Waiver. YOU AND HUMAN X AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

23.4 Opt-Out. You may opt out of this arbitration agreement by sending written notice to info@vitahash.org within thirty (30) days of first accepting these Terms, including your name and a clear statement that you wish to opt out of arbitration.

23.5 Exceptions. Notwithstanding the foregoing, either party may bring an action in court to seek injunctive or other equitable relief to protect its intellectual property rights.

24. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except to the extent governed by the Federal Arbitration Act as described in Section 23. For any dispute not subject to arbitration, the state and federal courts located in Wilmington, Delaware will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.

25. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the Site with a new “Last Updated” date, and, where required by law or where changes are significant, by additional notice such as email or an in-product notification. Changes will take effect as of the date stated in the notice, or, if none is stated, upon posting. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

26. General Provisions

26.1 Entire Agreement. These Terms, together with the Privacy Policy and any other terms referenced herein, constitute the entire agreement between you and Vitahash regarding the Service and supersede all prior agreements.

26.2 Severability. If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

26.3 No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

26.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

26.5 Force Majeure. Vitahash is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, network or blockchain infrastructure outages, and governmental action.

26.6 Notices. We may provide notices to you via the email address associated with your account or by posting on the Service. Notices to Vitahash should be sent to the address in Section 27.

26.7 Independent Contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Vitahash.

26.8 No Personal Liability. You are contracting solely with Vitahash LLC, a limited liability company. These Terms do not create, and shall not be construed to create, any personal liability on the part of any member, manager, officer, employee, contractor, or agent of Vitahash LLC for any obligation, act, or omission of Vitahash LLC arising under or in connection with these Terms or the Service. Any claim, demand, or legal proceeding relating to these Terms or the Service must be brought against Vitahash LLC only, and not against any individual associated with it in that individual's personal capacity.
